Litigation

DRS supports its clients in resolving disputes, preventively, in negotiations or in court, according to its objectives, and the associated risks and opportunities.

The litigation team IS made up of specialized, dedicated and competent lawyers who cover all legal areas, with extensive experience in resolving judicial and arbitration disputes, with a close approach to the client and oriented towards the rapid and successful resolution of their matters.

We provide, among others, accompany of any legal, administrative or administrative offense processes.

Corporate and M&A

DRS is dedicated to three fundamental perspectives in the corporate area, with a view to providing a complete service to clients in the business sphere: Corporate Governance, M&A and corporate litigation. In the Corporate and M&A area, we have a fundamentally transactional vocation, with extensive experience in mergers and acquisitions of different levels of complexity and size.

We provide regular advice to international and national companies and investors intervening in transactions in sectors ranging from banking to insurance, infrastructure, tourism, health, communications and technology.

 

Our activity is essentially concerned with monitoring and developing the processes of acquisition and sale of companies, merges, divisions, joint ventures, partnerships, corporate reorganizations, restructurings and public offers for acquisition and sale.

Real Estate and Tourism

DRS responds daily to the challenges of the current real estate market and has long experience in real estate advisory, with adequate and current academic education.

We create structures for real estate investment operations, namely companies, personalized (SICAVIs / SICAFIs) or non-personalized real estate collective investment undertakings (real estate investment funds); we monitor and develop real estate investment operations, mergers and acquisitions and respective due diligences;


We accompany tourism investment projects, from the DD to the constitution, installation, exploration and operation of tourist enterprises;

We draw up and negotiate the necessary contracts, namely purchase and sale (direct sale of real estate – asset deal; or sale of shares – share deal), sale and lease back, purchase option, exchange and surface rights; We develop and negotiate contract works, design and supervision relating to the property(s) targeted for investment;


We develop and negotiate contracts for the use and management of properties, namely, among others, contracts for the provision of hotel management services, leasing, assignment of operation or transfer of commercial establishment;


We monitor and develop real estate financing operations and respective guarantees.



Our clients, national and international, have been accompanied by our company in operations involving the purchase or sale of projects with various types of real estate (for housing, services, tourist and commercial) in the constitution and development of the operation of accommodation for students, retail parks, logistics parks, hotels and other tourist developments.

DRS has extensive experience in urban planning law, providing legal advice on legal rules and regulations applicable to various economic activities; We monitor real estate investment projects, tourism, industrial, commercial, among others; we carry out urban due diligences and prepare the respective report;



We monitor the constitution of urban subdivision(s), land use plans and provide legal support in licensing urban operations, undertakings and activities.

Credit Recovery and Insolvency

DRS advises the clients on credit recovery and its restructuring or insolvency. Accompanying business clients of various sizes and private clients, creditors or debtors.


DRS specializes in extrajudicial and judicial negotiation, litigation, as well as monitoring financial restructuring and insolvency. Advising the client in the negotiation of credits; Judicial recovery of credits; Litigation; Financial restructurings; Preparation and development of PER's, their negotiation, plan and execution; and preparation and monitoring of insolvency proceedings, with an insolvency or liquidation plan.

Labor

In the Labor area, we establish a close relationship with clients with the aim of being able to provide quick and effective responses to the daily requests of the companies we monitor. We make a point of excelling in speed in providing information in response to the customer and respective presentation of creative solutions for each problem. We assist companies and individual clients, both in consultancy and in litigation.

We provide services in various aspects of the labor area, namely, among others:

  • Development of Employment Contracts according to the company's activity;
  • Disciplinary and individual or collective dismissal procedures;
  • Development of internal norms/regulations;
  • Labor litigation and administrative offenses related to the ACT and Social Security;
  • Labor conflicts, strikes, preparation and monitoring of Lay-offs.

Immigration and Golden Visa

At DRS we have extensive experience in monitoring immigration processes for European foreigners or third-party states, namely accompanying and instructing nationality processes, residence permits and requests for family reunification.



With regard to the Golden Visa process for real estate investment, we always accompany and instruct the process together with the real estate department, so that the client obtains the best possible service.

We are dedicated to a personalized following of issues related to the family, children and youngsters, without prejudice to processes involving older persons, successions and wills.



We provide advice, among others, on marriage processes and recognition of de union of fact; separation of persons and property, separation of property, divorce, termination of de union of fact and precautionary procedures and respective regulation of the exercise of parental responsibilities and any changes; shares, inventories, wills and donations; review and confirmation of foreign sentences; regulation and alteration of the exercise of parental responsibilities.
